Harvard Business Review on Mergers & Acquisitions

Free eBooks >> Harvard Business Review on Mergers & Acquisitions  - This book has a a few very informative articles/chapters. It virtually covers the entire M&A continuum from deal strategy through post merger integration. It has a fatal flaw however due to its format and that is a lack of consistency from one section to the next. By jumping from one author to another, the reader is subjected to guidance that is often contradicted or not considered a few chapters later by another author. That is why I prefer books offering guidance on the subject from a thoughtleader or practitioner who can walk me through the entire process from beginning to end. I am comforted knowing I am not being plied with theory that will be refuted 30 pages later.

The book does include some very learned insights from previous authors of HBR articles, which most of us have read before but fails to include others such as Drs. Mark Feldman, Pat Gaughin, David Greenspan, Mark Clemente and Jac Fitz-Enz who are some of the finest minds and true heavyweights in the fields of culture, process, organizational development, and integration. I know because- as a Harvard alumna and corporate strategist for 20 years - I have worked as an employee alongside some of these M&A pioneers at such firms as AT&T, Lucent, IBM, and Citibank watching them give birth to the M&A scriptures. Each has penned their guidance in other less lofty titles which take the reader the whole way through the M&A experience while sharing successes, failures, theory, and case studies. This book is impressive to put on one's shelf and it does indeed have some very practical applications for today's corporate combinations. Yet the comprehensive guidance offered by these other authors eclipses the magazine-like compilation contained herein. It sorely misses their contributions.

Harvard Business Review on the Persuasive Leader (Harvard Business Review Paperback Series)

Free eBooks >> Harvard Business Review on the Persuasive Leader - This is one of the volumes in the "Ideas with Impact" series, each of whose articles originally appeared in an issue of the Harvard Business Review. In this instance, in issues from May/June 1998 to February 2005; their subject is the Persuasive Leader. As the editors correctly point out, "Companies are moving from traditional command-and-control hierarchies to flatter management styles at a rapid pace. To work effectively in these organizations, you need to excel at persuading others - including those over whom you have no formal authority. [In this volume] you'll discover techniques to hone your persuasive powers and get people to give their best every time."

All of the eight articles were written or co-authored by experts on this specific business subject. Here in Dallas near the downtown area, there is a Farmers Market at which several of the merchants offer a slice of fresh fruit as a sample of their wares. In that spirit, I now offer a sequence of brief excerpts that will, I hope, indicate the "taste" as well as the thrust of the ideas in the articles.

Harvard Business Review on Turnarounds

Free eBooks >> Harvard Business Review on Turnarounds - This is one in a series of several dozen volumes which comprise the "Harvard Business Review Paperback Series." Each offers direct, convenient, and inexpensive access to the best thinking on the given subject in articles originally published by the Harvard Business School Review. I strongly recommend all of the volumes in the series. The individual titles are listed at this Web site: www.hbsp.harvard.edu. The authors of various articles are among the world's most highly regarding experts on the given subject. Each volume has been carefully edited. Supplementary commentaries are also provided in most of the volumes, as is an "About the Contributors" section which usually includes suggestions of other sources which some readers may wish to explore. In this volume, the reader is provided with eight articles. Here are brief excerpts from the executive summaries with precede three of them:

Cracking the Code of Change (Michael Beer and Nitin Nohria): "In this article, [the authors] describe two archetypes -- or theories of corporate transformation that may help executives crack the code of change. Theory E is change based on economic value: shareholder value is the only legitimate measure of success, and change often involves heavy use of economic incentives, layoffs, downsizing, and restructuring. Theory O is change based on organizational capability: the goal is to build and strengthen corporate value." (May-June 2000)

Turning Goals into Results (Jim Collins): "In this article, [Collins] introduces the catalytic mechanism, a simple yet powerful managerial tool that helps translate lofty aspirations into concrete reality. Catalytic mechanisms are the crucial link between objectives and performance; they are a galvanizing, nonbureaucratic means to turn one into another...[They share] five characteristics. First, they produce desired results in unpredictable ways. Second, they distribute power for the benefit of the overall system, often to the discomfort of those who traditionally hold power. Third, catalytic mechanisms have teeth. Fourth, they eject `viruses' -- those people who don't share the company's core values. Finally, they produce an ongoing effect." (July-August 1999)

Changing the Way We Change (Richard Pascale, Mark Millemann, and Linda Gioja): "The authors identify three interventions that will restore companies to vital agility ands then keep them in good health: incorporating employees fully into the principal business challenges facing the company; leading the organization in a different way in order to sharpen and maintain incorporation and constructive stress; and instilling mental disciplines that will make people behave differently and then help them sustain their new behavior." (November-December 1997)

Hopefully these brief excerpts encourage those with whom I now share them to obtain a copy of this volume and then read each of the eight articles. Those who share my passion for athletic competition will be especially interested in Bill Parcells' article, The Tough Work of Turning Around a Team. His efforts to do so here in Dallas continue.

How to Start a Business in Texas (Legal Survival Guides)

Free eBooks >> How to Start a Business in Texas - If you're thinking about starting a business in Texas, this book is perfect for you. It covers general issues like what type of business should you start (Sole Proprietorship, Corporation, etc.), Insurance, Employment and Labor Laws, and most importantly specific issues associated with Texas. For instance, Texas requires Franchise Tax be paid by all corporations and Limited Liability Companies. Texas also requires a Sales and Use Tax form be completed for any business selling taxable items (tangible and intangible property). I have read the other book "How to Incorporate and Start a Business in Texas" but it is more focused on the legal rammifications of corporations and not on specific Texas related issues. It is also good, but I recommend this book because it covers basically everything. Great reference manual.

Harvard Business Review on Strategies for Growth (Harvard Business Review Paperback Series)

Free eBooks >> Harvard Business Review on Strategies for Growth - Looking for some informative, original and clear thinking about strategies for growth? This book is a great choice! This is a collection of eight outstanding articles selected from past editions of the HBR. The articles cover: value innovation; growth through acquisitions; growth through diversification; capturing the value of supplementary services; and exploiting the virtual value change. Each article begins with an executive summary which, for the fast-forward crowd, is a big plus.

So many books are merely ONE GOOD ARTICLE embedded in a thicket of verbiage. Chopping away through such a jungle of verbosity for the gist-of-it-all often proves tedious and disappointing. (Blessed are the laconic!) This book, on the other hand, just serves up a bunch of 'gists' -the pure meat and potatoes of ideas. Happily, the HBSP has published several other collections of this sort on such topics as knowledge management, change, and leadership. Each of these is collection of first-rate 'gists'. Reviewed by Gerry Stern, founder, Stern & Associates, author of Stern's Sourcefinder The Master Directory to HR and Business Management Information & Resources, Stern's CyberSpace SourceFinder, and the Compensation and Benefits SourceFinder.

Harvard Business Review on Nonprofits (Harvard Business Review Paperback Series)

Free eBooks >> Harvard Business Review on Nonprofits - The book is solid and accurate review of some crucial questions nonprofits are dealing with today. Anybody interested in topics as leadership, financial matters, founding, strategic alliances, entrepreneurship, excellence in performance and establishing trust in the field of the non-profit business, will benefit from reading a particular chapter or the whole book. Different authors, all experts in their fields, with practical axperience participate to a wide focus of the topics in question. What is missing in my opinion is maybe an article dealing with internal marketing - the nonprofits are mostly services and in this field a performance is inevitably linked to people performing the service.

Harvard Business Review on Managing High-Tech Industries (Harvard Business Review Paperback Series)

Free eBooks >> Harvard Business Review on Managing High-Tech Industries - This book is a compilation of some of the best articles on the high-tech industries published in the 1990s. These articles can be read independently and there isn't a thread going through the book other than the fact that they are all related to managing high-tech industries connection.

The first article 'Technology Integration' is all about the role of selecting the right technologies in R&D efforts to ensure proper technology integration otherwise, the resulting products could be late in getting to market, hard to manufacture, or do not fulfill the envisioned purpose. This article is based on an ongoing study of R&D in various segments of the global computer industry by the authors.

The second article 'When is Virtual Virtuous?' is all about deciding when going virtual can be harmful to success from innovation and when it can be helpful. The authors present a framework to help managers decide when to go virtual, when to form alliances, and when to rely on internal development. This decision was extremely hard for managers during the Internet bubble years and billions of dollars were wasted by Fortune 500 companies that may have not applied a framework like this one.

In the third article 'The New Logic of High-Tech R&D', the authors present a compelling argument for why manufacturing shouldn't be outsourced completely and how it is necessary to excel at developing both new products and processes simultaneously.

In the fourth article 'Real-World R&D', the authors present a new R&D approach where a system focus and an integration team can incorporate new technologies into existing products and creates a continuity in generations of products saving the company hundreds of millions of dollars.

In the fifth article 'How Architecture Wins Technology Wars', the authors put forward a view that proprietary architecture is necessary to competitive success. I am not sure how successful this approach will prove in this era of open standards. This article was published in 1993. This is the only article in the book I had trouble accepting.

In the sixth article 'Increasing Returns and the New World of Business', the authors put forward the concept of 'increasing returns' which is similar to the old philosophy in real life 'the rich get richer and the poor get poorer'. The authors show how there is a tendency for products that are ahead to go on and lock in the market and the products that are behind to lose advantage. There is an interesting discussion of the anti-trust case against Microsoft towards the end of the article.

In the seventh article 'Building Effective R&D Capabilities Abroad', the authors put forward ideas on how to take a global approach to R&D. I do not have enough background in this area to make any further comment.

In the eighth and last article 'Defining Next-Generation Products', the authors present the results of their valuable research involving 28 next-generation products in 14 leading high-tech companies. These best practices are the best part of this book. These best practices presented revolve around the product definition phase of all these projects.

Overall, this is a good book to read just like the other books in this series. I especially recommend that you don't miss reading the last article in the book. Good luck!

Harvard Business Review on Decision Making

Free eBooks >> Harvard Business Review on Decision Making  - There are several books from the Harvard Business Review that follow this simple format - essays on critical topics by the leading minds in the field compiled into a short book of around 200 pages. One of these critical topics is Decision Making. That topic is the focus of this book.
There are hundreds of books on management, strategy, leadership, etc. but not many are purely dedicated to treating the subject of Decision Making from a theoretical and abstract perspective. This book contains 8 short essays presenting different theories by people by Peter Drucker.
The first chapter starts off with an impressive treatment of The Effective Decision. It is impressive because of the wisdom packed into these few pages and the aptness of the title. The author (Peter Drucker) dispels the myths about the most effective decision makers being the ones that can think fast and manipulate a large number of variables in their heads. Instead he explains that the best decision makers are the ones who focus on impact instead of technique. He then systematically explains a simple process to follow to achieve the same results as the highly successful executives.

The book then moves on to topics dealing with how to make trade-offs, humble decision making (which is nothing but accepting that your first impressions may be wrong and be open to changing the direction of your thoughts as more information becomes available), interpersonal barriers, hidden traps, when to trust your gut, and analyzing problems. The essay on interpersonal barriers was very familiar to me as I had experienced the situations described several times in my own career.

The book is simple - it has no pictures, just some tables once in a while and some blank paper at the end of the book to takes notes. The size is small like a novel but very potent! When I first saw this book at a bookstore, I didn't think much of it. But I picked it up because of the Harvard Business Review name on the front cover. I couldn't put it down once I started reading the first chapter and immediately purchased a few books in this series.

These books and especially this one can be described in only one word - potent. They are like text books or Ph.D papers except they are very practical. These are some of my favorite management/business books but they are difficult to digest. Since they are abstract in nature, one has to read them very slowly and read them with total concentration. The authors don't spend time painting a picture in detail and trying to get you excited. They get straight to the point and finish it in less than 20 pages. If you read these books like you would read other books, you are likely to miss the point.

This book in particular is very unique as there aren't that many books dedicated to just Decision Making. Enjoy learning from the masters! Good luck!

Business Letters for Busy People

Free eBooks >> Business Letters for Busy People - Jim Dugger has done a great job writing a book for us pragmatic business people who want to write the most appropriate letter in style and structure) for any given situation but don't want to spend hours learning how. I'm an Entrepreneur, work fast paced hours and sometimes take on multiple tasks in my company. This leads me to have to write sales letters, customer relations letters, internal memos, etc. To do this I need to be flexible in my communication with various people and this book helps me do just that. I keep this book handy on my shelf, and so far I haven't been disapointed. It will provide you with two primary things: quick advice for writing letters in professional situations and over two hundred business letter formats for easy reference.

The book is organized in such a way that you can easily flip through it, find the type of letter you want to write, and find the best format to follow with a breakdown of each part of the letter and what it's function should be, as well as some general information about that specific type of letter and a visual representation of the letter itself. The over two hundred letters cover almost any type of letter you will have to write as a business person. I would have given the book 4.5 stars if it was possible, but I chose not to give it five stars because I would expect a book on business letters in today's day and age to now include at least some information on e-mail letters, or letters written in the context of e-commerce. I think that if the author came out with an equivalent book for writing e-mails or business letters for people in e-commerce situations, or perhaps made an addition to this book, it would provide important additional resources to the average user given the popularity of new internet technologies. Otherwise the book is excellent, and I highly recommend it for anyone who wants a quick reference and guide to writing business letters!
